John has extensive experience advising entrepreneurs and investors regarding company structuring and formation, including entity selection, dual-class equity structures, and founder and employee equity issuances. He has also assisted many companies with LLC to Delaware corporation conversions.
John’s entity formation experience includes:
- Formed hundreds of startup and special purpose corporations and limited liability companies in Delaware, Texas, and Washington, including formation documents, bylaws/company agreements, and issuance of founder and employee and consultant equity.
- Restructured, merged and/or converted existing entities to change jurisdiction of organization or otherwise rationalize corporate structures.
