John has extensive experience advising entrepreneurs and investors regarding company structuring and formation, including entity selection, dual-class equity structures, and founder and employee equity issuances. He has also assisted many companies with LLC to Delaware corporation conversions.
John’s entity formation experience includes:
- Formed hundreds of startup and special purpose corporations and limited liability companies in Delaware, Texas, and Washington, including formation documents, bylaws and company agreements, and issuance of founder, employee, and consultant equity.
- Restructured, merged, and converted existing entities to change jurisdiction of organization or otherwise rationalize corporate structures, including LLC to corporation conversions and interstate redomestications involving outstanding convertible instruments and foreign investors.
- Designed dual-class and voting and non-voting equity structures for closely held companies, including unit splits implemented to support annual equity gift programs.
